Introduction

This page sets out the terms on which Equix Energy Services, LLC offers operations support for community wind and solar fleets. The company works from a plain desk: it watches the screen, walks the rows and files the output. That way of working depends on clear expectations on both sides, and these terms are written to state those expectations without unnecessary complexity.

The terms are arranged in sections so that a reader can find the relevant part quickly. They cover the scope of work, the way a booking is made, the fees, the safety rules, the reports, the ownership of documents, confidentiality, liability and the way a disagreement is handled. Where a signed contract exists, that contract governs the contracted work and this page fills any gap.

The terms should be read alongside the Privacy Policy, which explains how information is collected and kept. Both pages are linked from the footer of every page on this website.

Agreement to These Terms

These Terms of Service govern the use of this website and the purchase of operations support from Equix Energy Services, LLC. By using the website, sending an enquiry or accepting a service proposal, you agree to the terms set out on this page. If you do not agree, please do not use the website or engage the desk for service work.

Where a signed service contract exists between you and the company, that contract takes priority over this page where the two differ. This page fills the gap for website visitors and for early conversations before a contract is signed.

Who We Are

Equix Energy Services, LLC provides community wind and solar operations, including turbine inspection rounds, panel wash cycles, inverter swap runs, interconnection filing, blade repair windows and output report reviews. The desk is based in Fond Du Lac, Wisconsin.

The company is registered at Equix Energy Services, LLC, 46 S Rolling Meadows Dr, Fond Du Lac - 54937-9802, United States (US). The contact email is sales@equixenergy.lol and the contact telephone number is +17079182544. The developer name printed on this website is Equix Energy.

Scope of the Service

The service covers scheduled and emergency work on community scale wind and solar equipment, together with the reporting and filing that surrounds that work. The exact scope for any site is set out in a written proposal or service plan, signed before work begins.

Unless the plan says otherwise, the service does not include major component replacement such as gearboxes or blades, high voltage work beyond the approved isolation point, structural engineering design or legal advice. Those tasks are referred to qualified specialists, and the desk will explain any referral in writing.

Proposals, Bookings and Acceptance

A proposal sets out the site, the equipment, the service lines, the schedule, the price and the assumptions on which the price is based. A booking is confirmed when the owner accepts the proposal in writing and a start date is agreed by both parties.

Where a booking depends on access, permits, a utility window or the delivery of a spare part, the desk will state that dependency in the proposal. A delay caused by a dependency that was disclosed in advance does not amount to a failure of the service, though the desk will keep the owner informed and will adjust the schedule where it is able to.

Fees, Invoicing and Payment

Fees are stated in the proposal and are quoted in United States dollars unless another currency is agreed in writing. Invoices are issued at the milestones set out in the proposal, commonly at mobilisation for field work and at delivery for reports and filings.

Payment terms are stated on each invoice. Where payment is late, the desk may pause scheduled work after giving written notice and may charge interest at the rate permitted by law. Disputed items should be raised in writing within the invoice period so that they can be resolved before they affect the schedule.

Owner Responsibilities

The owner agrees to provide safe access to the site, to identify all known hazards before the crew arrives, to supply the equipment records that exist and to nominate a contact who can answer questions during the visit. The owner also agrees to keep the interconnection approval and any operating restrictions available to the crew.

Where the owner fails to disclose a hazard or an access restriction, the crew may stop work and leave the site. In that case the visit may be charged as a mobilisation, and a return visit will be scheduled once the issue is resolved.

Site Safety and Stop Work Authority

Safety takes priority over schedule. Any member of the crew may stop work where a condition is unsafe, whether the condition relates to the equipment, the weather, the access or another party on site. Work resumes only when the person who stopped it is satisfied that the hazard has been controlled.

The desk records every stop work event with the reason and the resolution. Where a stop work event was caused by a hazard that the owner failed to disclose, the cost of the lost day may be charged to the owner as set out in the proposal.

Equipment Condition and Access

The crew works on the equipment as found. Where a component is showing a defect that was not visible during the survey, the desk will photograph the defect and report it before deciding whether to continue or to revise the scope. A revised scope is agreed in writing before the additional work begins.

Solar washes assume that access tracks, gates and block perimeters are passable at the time of the visit. Turbine rounds assume that the tower door lock and the climb assist are in working order. Where these assumptions fail, the crew will do what is safe and will record what could not be completed.

Scheduling, Weather and Force Majeure

Outdoor work depends on weather. A round or a wash may be postponed where wind, rain, ice or ground conditions make safe work impossible. The desk will propose the next available window and will not charge for a postponement that is caused by weather alone.

Neither party is liable for a failure to perform that is caused by an event outside reasonable control, including severe weather, utility outages, civil disruption, epidemic restrictions or a supplier failure. The affected party will give notice as soon as it is able and both parties will work to resume the service.

Reports, Filing Work and Reliance

Output reports, round sheets and filing packages are prepared with reasonable care from the records available at the time. They are advisory documents for the owner and they do not constitute an engineering certification unless the proposal says so in writing.

The desk will correct an error in a report or a filing on request. The owner remains responsible for the final submission to a utility or a regulator, and the desk will not submit a package that the owner has not approved.

Intellectual Property

The company retains ownership of its methods, templates, checklists, report formats and software tools. The owner receives a licence to use the reports and records produced for the owner own project, for the purposes of operating, financing or selling that project.

The owner may not resell the templates or the report formats to a third party. Where an owner wishes to share a report with a lender, a buyer or an insurer, that sharing is permitted under the licence.

Confidentiality

Each party agrees to keep the other party confidential information private. The desk will not publish site data, meter readings or equipment histories without written permission. The owner will not publish the pricing structure or the internal methods of the desk without written permission.

Confidentiality does not apply to information that is already public, that is independently developed without reference to the other party, or that must be disclosed under law. Where disclosure is compelled, the party required to disclose will give the other party as much notice as the law allows.

Warranties and Limitations

The desk warrants that services are performed in a professional and workmanlike manner and in line with the written proposal. Apart from that, and any warranty that cannot be excluded by law, the service is provided as described and without any other promise about results or future production.

To the extent permitted by law, the total liability of the company for any claim arising from the service is limited to the fees paid for the specific service line to which the claim relates. Neither party is liable for indirect or consequential loss, including lost production revenue, except where the law does not allow that exclusion.

Indemnity

The owner agrees to indemnify the company against claims that arise from a hazard on site that the owner failed to disclose, from equipment that the owner modified without telling the desk, or from the owner use of a report for a purpose that the desk did not agree to.

The company agrees to indemnify the owner against claims that arise from the negligence of the company own crew, to the extent that the claim is not caused or worsened by the owner. This section survives the end of the service relationship.

Suspension and Termination

Either party may end a service arrangement with thirty days written notice unless the proposal sets a different period. Fees for work already performed remain payable, and records for the project are preserved for the retention period described in the Privacy Policy.

The company may suspend work immediately where an invoice remains unpaid after notice, where the site is unsafe, or where the owner has provided information that is materially false. Suspension is confirmed in writing with the reason and the steps needed to resume.

Complaints and Service Recovery

If the owner is unhappy with a visit, a report or a filing, the owner should raise the matter in writing within thirty days of the delivery date. The desk will investigate, will share what it finds and will correct a fault at no additional charge where the fault lies with the company.

Where a disagreement cannot be settled by discussion, the parties agree to attempt mediation before starting legal proceedings. The cost of mediation is shared equally unless the mediator directs otherwise.

Governing Law and Jurisdiction

These terms are governed by the laws of the State of Wisconsin, United States of America, without regard to its conflict of law rules. The parties agree that the courts located in Wisconsin have jurisdiction over any dispute that is not resolved by discussion or mediation.

Where a project contract names a different governing law, that contract governs the contracted work. This section applies to website use and to claims that arise outside a signed contract.

Changes to These Terms

The desk may update these terms when the service changes or when the law changes. The date at the top of the page shows the most recent revision. Continued use of the website after a revision is published amounts to acceptance of the revised terms.

Where a change is significant for an existing owner, the desk will give written notice before the change takes effect, and the owner may end the arrangement under the termination section if the change is not acceptable.

Contact and Notices

Notices under these terms should be sent to sales@equixenergy.lol or delivered in writing to Equix Energy Services, LLC, 46 S Rolling Meadows Dr, Fond Du Lac - 54937-9802, United States (US). Notices to the owner are sent to the email address on the proposal or to another address that the owner nominates in writing.

A notice is treated as received on the next working day after it is sent by email, or on delivery where it is sent by post. Either party may change its notice address by writing to the other party under this section.

Subcontracting and Partners

The company may engage licensed electricians, rope access technicians, lift providers and engineering reviewers to complete part of the agreed work. Where a partner is engaged, the company remains responsible for coordinating the schedule, for checking the partner credentials and for reviewing the work before it is reported to the owner as complete.

The owner will be told in the proposal which parts of the work are expected to be delivered by a partner. Where a partner is added after the proposal is signed, the desk will send a written notice that names the partner and describes the task before the partner arrives on site.

Insurance and Certification

Field crews carry general liability cover and the certifications required for the tasks they perform. Evidence of cover is available to the owner on request and can be sent to a lender or an insurer that requires it before work begins.

Where a task requires a specific certification, such as high voltage switching or rope access, the certificate is carried on site and is recorded on the round sheet. A certificate that has lapsed is never used to justify work, and the task is moved to a qualified partner instead.

General Provisions

If any part of these terms is found to be invalid or unenforceable, the remaining parts stay in force. The invalid part is read down to the smallest extent needed to make it enforceable, and the intention of the parties is preserved wherever the law allows.

A failure to insist on a right under these terms is not a waiver of that right. A waiver is effective only when it is given in writing and signed by the party granting it. Headings are for convenience only and do not affect the meaning of a section.

These terms, together with the Privacy Policy and any signed proposal, form the entire agreement between the parties for website use and for services that are not covered by a separate contract. Any prior discussion on the same subject is replaced by this written record.

Acknowledgement

The owner acknowledges that it has read these terms, that it understands them and that it has had the opportunity to ask questions. The owner further acknowledges that wind and solar equipment operates outdoors and that some defects, weather events and utility actions are outside the control of any service provider.

Equix Energy Services, LLC acknowledges that it will perform the agreed work with reasonable care, will keep the owner informed of material developments and will preserve the project records for the period described in the Privacy Policy. Both parties agree to deal with one another in good faith throughout the service relationship.

Questions about these terms can be sent to sales@equixenergy.lol or raised by telephone on +17079182544. The desk welcomes a conversation before a booking is made, because a clear start makes for a steady season.
